1. Aim of the Agreement
These Terms and Conditions (the Agreement) clarify the working relationship, expectations and responsibilities between Jane Adshead-Grant (the Facilitator) and the commissioning organisation (the Client) for the design and delivery of leadership facilitation. They are intended to establish clarity and mutual understanding before the work begins.
2. Scope of Facilitation Services
Facilitation involves the design and delivery of a structured group session, workshop or programme that enables participants to think well together, engage in meaningful dialogue and reach shared outcomes. The Facilitator provides the design, preparation, materials and skilled facilitation of the agreed session. The specific aims, format, duration and number of participants will be confirmed in writing before delivery.
3. Roles and Responsibilities
The Facilitator will take a brief from the Client, design the session to meet the agreed objectives, and facilitate it with professionalism and care. The Client is responsible for identifying participants, communicating joining details, providing a suitable venue or online platform, and sharing relevant background information in good time. A successful outcome depends on open collaboration between the Facilitator and the Client at the design stage.
4. Fees and Expenses
The fee for the facilitation is agreed in writing at the outset and reflects design, preparation, delivery and follow-up. Travel, accommodation and any pre-agreed materials or licensing costs are recharged at cost. Any expense beyond travel will be confirmed with the Client before it is incurred. An invoice will be issued as agreed and is payable within 30 days of the invoice date unless otherwise agreed in writing.
5. Cancellation and Postponement
If an event is cancelled within two weeks of delivery, fees will not be refundable. If cancelled with 2-4 weeks’ notice, 50% of fees will be refunded. If cancelled with more than 4 weeks’ notice, the full fee is refundable.
Where an event is postponed rather than cancelled, the Facilitator will make reasonable efforts to agree an alternative date. Any expenses already incurred by the Facilitator, for example non-refundable travel or accommodation, remain payable by the Client.
6. Confidentiality
The Facilitator treats all information shared by the Client and its participants as confidential. To create a safe environment for honest dialogue, participants will be invited to agree that personal contributions made during the session remain confidential to the group. The Facilitator will not attribute individual comments to named participants in any summary or feedback to the Client without prior agreement.
7. Intellectual Property
The materials, slides, exercises and written resources prepared by the Facilitator for the session remain her intellectual property. Some of the frameworks and methodologies drawn upon during facilitation, for example the Thinking Environment® developed by Nancy Kline, are the intellectual property of their respective owners. These are used by the Facilitator with due acknowledgement, in line with her training and permissions, and ownership of them remains with those owners.
Whether created by the Facilitator or owned by a third party, all materials and frameworks are shared with participants for their own learning and reference only. They may not be copied, reproduced, adapted, recorded, or used to deliver training to others without the prior written consent of the relevant owner.
8. Data Protection
The Facilitator will process participant details, such as names and email addresses, only as necessary to design and deliver the session, in line with UK data protection law. Information is held securely, is not shared with third parties, and is deleted when it is no longer required. Participants may request access to, or deletion of, any personal data held about them.
9. Recording and Photography
Sessions will not be recorded or photographed without the prior agreement of the Facilitator and all participants. Where recording is agreed, it is for the stated purpose only and does not transfer any rights in the Facilitator’s materials.
10. Professional Standards, Liability and Insurance
Jane Adshead-Grant, MCC, is a member of and works to the Code of Ethics and Practice of the International Coaching Federation, and holds professional indemnity insurance. Facilitation is a developmental process. Responsibility for the decisions and actions taken as a result of the session rests with the Client and its participants.
11. Governing Law
This Agreement is governed by the law of England and Wales.
